  4.             GENERAL TERMS

  7.     The Guarantor waives:
  8.  
  9.  
  10. dilligence by @002 in collection of any indebtedness or other
  11. obligation guaranteed herein;
  12.  
  13.  
  14. notice of nonpayment, protest, notice of protest or other such
  15. notice;
  16.  
  17.  
  18.     The Obligee may:
  19.  
  20. grant renewals, extensions or modifications of the obligation or
  21. indebtedness;
  22.  
  23.  
  24. surrender or release any and all security or collateral;
  25.  
  26.  
  27. release co-guarantors if any;
  28.  
  29.  
  30. without affecting the Guarantors obligations herein.
  31.  
  32.  
  33.     The Obligee shall not have to:
  34.  
  35.  
  36. first institue suit against @003 prior to demanding payment
  37. under this guarantee;
  38.  
  39.  
  40. exhaust any remedies it may have against @003;
  41.  
  42.  
  43. give notice of acceptance of this guarantee;
  44.  
  45.  
  46. and may in its discretion seek to enforce this guarantee 
  47. solely against Guarantor.

  50. Should there be any additional guarantor of the obligations
  51. of @003, whether in whole or in part, this guarantee shall
  52. not be affected by the death, release, or insolvency of any
  53. other guarantor.

  56. READ CAREFULLY. THIS IS AN AGREEMENT TO GUARANTEE THE DEBTS
  57. OF ANOTHER. THIS MEANS THAT YOU MAY HAVE TO PAY THE WHOLE
  58. DEBT OR OBLIGATION OF @003.

  61. The guarantor may revoke this guarantee upon written notice
  62. to the Obligee; however, such revocation shall not affect
  63. the liability accrued to that date, if any.

  67. This is the entire agreement of the parties and this agreement
  68. may only be modified by a written agreement executed by both
  69. parties.
